Terms and Conditions

Effective date: 3 June 2026 · Last updated: 3 June 2026

These Terms and Conditions ( "Terms") are a binding agreement between you ( "you", "your") and Overload Tech Ltd, a company registered in England and Wales under company number 15229063, whose registered office is at20 Wenlock Road, London, England, N1 7GU, which operates the Calendaria service ( "Calendaria","we", "us", "our"). They govern your use of the Calendaria service available at calendaria.co and through the Calendaria Telegram bot and other channels we operate from time to time (together, the "Service").

Please read these Terms carefully. By creating an account, starting a free trial or paying for a subscription, you confirm that you have read and accept these Terms and ourPrivacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you confirm that you have authority to bind that entity to these Terms, and "you" refers to that entity.

1. About these Terms

1.1 These Terms, together with our Privacy Policy and any order confirmation we send you, form the entire agreement between you and us about the Service.

1.2 We may publish other policies (for example, an Acceptable Use Policy or Data Processing Addendum). Where we expressly link to them from these Terms, they form part of this agreement.

1.3 If anything in these Terms conflicts with mandatory consumer rights you have under English law, those rights override the conflicting clause to the extent of the conflict.

2. Definitions

In these Terms:

  • Account — the account you create to access the Service.
  • AI Output — text, suggestions, summaries, draft messages, scheduling proposals or other content generated by the Service in response to your input.
  • Calendar Data — the events, attendees, times, descriptions and other content held in any calendar account you connect to the Service.
  • Connected Account — any third-party account (for example, Google Calendar, Telegram, WhatsApp) you link to the Service.
  • Consumer — has the meaning given in section 2 of the Consumer Rights Act 2015.
  • Subscription — a recurring paid plan for the Service.
  • Trial — a time-limited period during which you can use a Subscription plan without charge.

3. Eligibility and your Account

3.1 You must be at least 18 years old, or the age of majority in your country, to use the Service.

3.2 You agree to provide accurate information when you sign up and to keep your Account details up to date.

3.3 You are responsible for activity on your Account, including activity by anyone you let access it. Keep your sign-in credentials (including magic-link emails and any linked messaging app) confidential.

3.4 If you think someone has accessed your Account without permission, tell us at support@calendaria.co as soon as possible so we can help you secure it.

3.5 We may refuse, suspend or close an Account if we reasonably believe it has been used in breach of these Terms.

4. The Service

4.1 Calendaria is a natural-language calendar assistant. You send instructions in plain language through a messaging channel (such as Telegram) or the dashboard at calendaria.co, and the Service reads from, and where you confirm, writes to, your Connected Account's calendar.

4.2 Write actions (creating, moving, cancelling or inviting attendees to events) are always presented to you for explicit confirmation before they take effect. You are responsible for confirming write actions; once confirmed, they are sent to your Connected Account.

4.3 The Service depends on third-party providers we describe in clause 10. Their availability and terms affect what the Service can do for you.

4.4 We may add, change, suspend or remove features at any time. Where a change materially reduces the Service's functionality, we will give you reasonable notice and, if you are a Consumer and the change is to your significant disadvantage, you may cancel under clause 6.

5. Subscription, free trial and payment

5.1 Trial. New Accounts may start a seven (7) day free Trial without providing payment details. During the Trial you have access to the same features as paying subscribers.

5.2 Conversion to paid Subscription. When the Trial ends, you must add payment details through checkout to continue using paid features. The fee is shown at checkout and is currently USD 10 per month (or the local equivalent), inclusive of VAT where applicable.

5.3 Billing cycle. Subscription fees are charged in advance, on a recurring monthly basis from the date your Subscription starts. We bill through Stripe Payments Europe Ltd. or Stripe Payments UK Ltd. (as applicable) (" Stripe"). Their terms apply to the payment transaction.

5.4 Failed payments. If a payment fails, we may retry it according to Stripe's standard schedule and suspend your Service access until the payment is collected. We will tell you if your Subscription is at risk.

5.5 Price changes. We may change Subscription fees from time to time. We will give you at least thirty (30) days' notice before any price change affects you. If you do not accept the new price, you may cancel the Subscription before it takes effect under clause 6.

5.6 Taxes. Prices include UK VAT where applicable. If you are based outside the UK, your local consumption or sales taxes may apply and will be added at checkout where we are required to collect them.

5.7 Fair use. The Subscription is intended for a single user. Subject to a fair monthly allowance described at calendaria.co/pricing, the Subscription includes 300 monthly AI actions for ordinary, individual use. We may contact you if your usage materially exceeds normal individual use and discuss a suitable plan.

6. Cancellation and refunds

6.1 Your right to cancel as a Consumer (14-day cooling off)

6.1.1 If you are a Consumer and you have entered into this agreement at distance (for example, online), you have the right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel within 14 days of the day this agreement is concluded, without giving a reason.

6.1.2 Express consent and waiver for immediate access. Calendaria is supplied as digital content and as a service that begins on signup. By creating an Account and using the Service before the end of the 14-day period, you expressly request immediate supply of the Service and acknowledge that, once we begin supply, you lose your right to cancel under those Regulations. If you would prefer to wait until after the 14-day period to start using the Service, tell us at support@calendaria.co before you sign in.

6.1.3 To exercise the right where it still applies, write to support@calendaria.co within 14 days of signup with the words "I wish to cancel my Calendaria account under the 14-day right." We will confirm and refund any amount you paid for the unused part of the period, less any amount reasonably attributable to use you have already had.

6.2 Cancelling a paid Subscription

6.2.1 You may cancel your Subscription at any time from your account dashboard, through the Stripe customer portal we link to from there, or by writing to support@calendaria.co. Cancellation takes effect at the end of the current billing period; you keep access until then and we do not pro-rate the unused part of that period unless the law requires us to.

6.2.2 If your Subscription is cancelled because of a price change you do not accept (clause 5.5), the cancellation takes effect on the date the new price would have applied and we do not charge you the new price.

6.3 Refunds outside the statutory right

6.3.1 Subscriptions are paid in advance for a service supplied continuously, so we do not normally give refunds for partial months. If we have made a mistake (for example, charged you after you cancelled), we will refund the affected amount promptly.

6.4 Our right to end this agreement

6.4.1 We may suspend or close your Account under clause 12 if you materially breach these Terms. Where we do, we will refund any unused, prepaid Subscription fee unless the suspension or closure is because of fraud, abuse or breach of clause 9 (Acceptable use).

7. AI Output: accuracy and your responsibility

7.1 The Service uses large language models supplied by Anthropic, PBC and other AI providers we choose from time to time to interpret your instructions and propose actions. AI Output may be inaccurate, incomplete or misleading. Do not rely on AI Output as the only source of truth for important decisions.

7.2 Calendar write actions are designed to be confirmed by you before they take effect. By confirming a proposed action, you take responsibility for the resulting change to your calendar. We are not responsible for the consequences of an action you confirmed, even if the AI Output that led to it was wrong.

7.3 We do not claim that AI Output is fit for a particular purpose beyond the general purpose of assisting with calendar tasks. AI Output is not professional advice and must not be used as a substitute for it.

7.4 We may use the content of your instructions and AI Output to operate, debug and improve the Service, subject to the Privacy Policy. We do not sell your data to third parties for advertising.

8. Your Calendar Data and content

8.1 You retain all rights in your Calendar Data and in the messages you send to the Service ( "Your Content"). We do not claim ownership of them.

8.2 You grant us a limited, non-exclusive, royalty-free licence to access, copy, transmit, process and display Your Content and your Calendar Data for the purpose of operating and improving the Service for you, including by forwarding it to our infrastructure providers and AI providers under clause 10.

8.3 You confirm that you have the right to give us this licence and that Your Content does not break the law or the rights of others (including any attendees or other people referenced in your Calendar Data).

8.4 We act as a "processor" of personal data within your Calendar Data on your behalf. The Privacy Policy describes how we handle that data. If you need a Data Processing Addendum for business use, contact support@calendaria.co.

9. Acceptable use

9.1 You agree not to use the Service to:

  • (a) break any law, regulation or third-party right;
  • (b) send unsolicited messages, spam or harassment, including by inviting attendees to events without a legitimate basis;
  • (c) impersonate a person or entity, or misrepresent your relationship with them;
  • (d) infringe intellectual property, trade secret, privacy, publicity or other rights;
  • (e) upload or transmit malware, or otherwise interfere with the Service or its infrastructure;
  • (f) reverse engineer, decompile or extract the source code of the Service, except to the extent the law permits;
  • (g) attempt to bypass authentication, rate limits, usage allowances or security controls;
  • (h) use the Service to build a competing product, or to train a competing machine-learning model from our AI Output;
  • (i) scrape, harvest or systematically extract data from the Service except as expressly permitted by us in writing.

9.2 We may investigate suspected breaches and cooperate with law enforcement where required.

10. Third-party services

10.1 The Service relies on, and integrates with, services we do not control, including:

  • Google Calendar (via Google LLC) for reading and writing calendar events;
  • Telegram (via Telegram FZ-LLC), WhatsApp (via WhatsApp LLC) and other messaging providers we add over time, for delivering and receiving messages;
  • Anthropic, PBC and other AI providers, for natural-language understanding;
  • Stripe (Stripe Payments Europe Ltd. or Stripe Payments UK Ltd.), for payments;
  • Amazon Web Services, Inc. (including SES), for transactional email;
  • Cloudflare, Inc., for hosting parts of our infrastructure;
  • MongoDB Inc. (Atlas), for database hosting.

10.2 Each of these providers has its own terms and privacy policies that apply to your use of their service. We are not responsible for their availability, errors or changes.

10.3 If you disconnect a third-party account, we may lose the ability to perform some or all of the Service for you. We will continue to bill you for your Subscription until you cancel under clause 6.

11. Intellectual property

11.1 The Service, its software, design, documentation, brand, logos and content (other than Your Content and Calendar Data) are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business purposes, in accordance with these Terms.

11.2 We welcome feedback. If you send us suggestions or ideas about the Service, you grant us a perpetual, royalty-free, irrevocable licence to use them without obligation to you.

12. Suspension and termination

12.1 We may suspend or end your access to the Service:

  • (a) immediately, where we reasonably believe you have materially breached these Terms (including clause 9);
  • (b) immediately, where we are required to do so by law or by a competent regulator;
  • (c) on at least thirty (30) days' written notice, for any other reason, including if we discontinue the Service generally.

12.2 You may end this agreement at any time by cancelling your Subscription and closing your Account.

12.3 On termination, your right to use the Service ends. Clauses that by their nature should survive (including clauses 7, 8, 11, 14, 15, 16 and 20) survive termination.

12.4 We will keep your data for a reasonable period after termination so that you can reactivate your Account if you choose to. After that period we will delete or anonymise it in line with the Privacy Policy.

13. Service availability and support

13.1 We work hard to keep the Service available and fast, but we do not guarantee uninterrupted, error-free or secure availability. We do not offer a service-level agreement for the standard Subscription.

13.2 We may carry out maintenance, including emergency maintenance, that affects availability. Where reasonably practical we will give advance notice.

13.3 Standard support is by email at support@calendaria.co. We aim to respond within a reasonable time during UK business hours.

14. Warranties and consumer rights

14.1 If you are a Consumer, the Consumer Rights Act 2015 gives you statutory rights, including that any digital content you pay for must be of satisfactory quality, fit for purpose and as described. Nothing in these Terms limits or removes those statutory rights.

14.2 Except for those statutory rights and any other warranties that the law does not allow us to exclude, the Service is provided "as is" and "as available". To the extent the law allows, we exclude all other warranties, representations and conditions, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14.3 We do not warrant that AI Output is accurate, complete, current or suitable for any specific purpose.

15. Limitation of liability

15.1 Nothing in these Terms limits or excludes our liability for:

  • (a) death or personal injury caused by our negligence;
  • (b) fraud or fraudulent misrepresentation;
  • (c) any other liability that cannot be limited or excluded by English law.

15.2 Subject to clause 15.1, and to the extent permitted by law:

  • (a) we are not liable for any loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss of opportunity, loss of goodwill, or for any indirect, special or consequential loss, arising out of or in connection with the Service or these Terms;
  • (b) we are not liable for loss or corruption of Calendar Data or Your Content where you have not maintained your own backup, where the law requires you to;
  • (c) our total aggregate liability to you in connection with the Service and these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (i) the total amount you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim, and (ii) GBP 100.

15.3 This clause 15 reflects the price of the Service and a fair allocation of risk between you and us. If you need a higher liability cap for business reasons, contact us before subscribing — we may be able to offer a different plan.

15.4 You agree that the limitations in this clause 15 are reasonable and that, without them, we could not offer the Service at this price.

16. Data protection and privacy

16.1 Our Privacy Policy explains how we collect, use and protect personal data in connection with the Service. It forms part of these Terms.

16.2 Where we process personal data within your Calendar Data on your behalf, we do so as a "processor" under the UK GDPR and the Data Protection Act 2018. Business customers who need a Data Processing Addendum should contact support@calendaria.co.

16.3 You are responsible for ensuring that any personal data you put into the Service (including in event titles, descriptions, attendee lists and messages) is collected and used lawfully, including by giving people the privacy information they are entitled to.

17. Changes to these Terms

17.1 We may change these Terms from time to time. If we change them in a way that affects your rights or obligations, we will tell you in advance — for example, by email or by a notice on calendaria.co.

17.2 If you do not accept the change, you may cancel your Subscription before the change takes effect (see clause 6). Continuing to use the Service after the change date means you accept the new Terms.

17.3 We will keep the "Last updated" date at the top of these Terms current.

18. Notices, assignment and other general terms

18.1 Notices. We may send you notices about the Service by email to the address linked to your Account, by message through your linked messaging channel, or by posting them on calendaria.co. You should send notices to us at support@calendaria.co.

18.2 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to a successor or affiliate in connection with a merger, sale or reorganisation of our business, on at least thirty (30) days' notice.

18.3 No partnership or agency. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us.

18.4 Severability. If any part of these Terms is held to be unlawful or unenforceable, that part will be modified to the minimum extent necessary to make it enforceable, and the rest of these Terms will continue in full force.

18.5 No waiver. If we do not enforce a right under these Terms straight away, that does not mean we have given it up.

18.6 Entire agreement. These Terms, together with the Privacy Policy and any order confirmation, are the entire agreement between you and us about the Service and replace any earlier agreement or understanding on the same subject.

18.7 Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them.

18.8 Force majeure. We are not responsible for failure or delay caused by an event beyond our reasonable control, including failures of third-party services described in clause 10.

19. Governing law and jurisdiction

19.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales.

19.2 You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim. If you are a Consumer resident in another part of the United Kingdom, you may also bring proceedings in your local courts; nothing in this clause affects mandatory rights you have under your local consumer law.

19.3 If you are a Consumer based in the UK and have a complaint we cannot resolve, you may be able to use an alternative dispute resolution service. We are happy to consider any reasonable proposal to use one.
